- Business accounts must ensure that the registered user has the legal authority to act on behalf of the business.
2. Eligibility to Sell
- Sellers must be at least 18 years of age or have legal guardian consent if a minor.
- Sellers must have the legal right to sell the digital products listed.
- Sellers must comply with all local, national, and international laws, including intellectual property and tax regulations.
3. Product Listings
- All product listings must be accurate, clear, and complete, including descriptions, pricing, images, licensing terms, and delivery timelines.
- Sellers must not list prohibited, illegal, counterfeit, unsafe, or infringing products.
- Clotac reserves the right to remove any listing that violates this policy or applicable laws, without prior notice.
- All digital products must comply with licensing terms and must not be redistributed or resold without proper authorization.
4. Pricing and Payment
- Sellers are responsible for setting accurate prices for their products in the transaction currency.
- Platform fees, commissions, or charges, if any, must be paid as outlined by Clotac.
- Payments must be processed through Clotac-approved methods, and sellers must provide accurate billing information.
- Clotac reserves the right to modify fees, payment methods, or procedures, with notice to sellers.
5. Delivery and Digital Product Access
- Sellers must ensure digital products are delivered in the format and specifications promised in the listing.
- Clotac is not responsible for buyer-side technical issues preventing access to products.
- Sellers must address delivery issues promptly to maintain buyer trust and satisfaction.
6. Intellectual Property & Licensing
- Sellers must own or be authorized to sell all listed products and respect intellectual property rights of third parties.
- Unauthorized use, reproduction, or distribution of copyrighted material is strictly prohibited.
- Sellers grant Clotac a limited license to display listings, images, and product information for platform operations and promotion.
7. Compliance & Taxes
- Sellers are responsible for complying with tax obligations, including GST, VAT, income, and withholding taxes.
- Clotac may calculate and collect taxes on behalf of sellers where required.
- Sellers must ensure that their products meet all safety, legal, and regulatory requirements in the jurisdictions they sell to.
8. Refunds, Cancellations & Disputes
- Sellers must adhere to Clotac’s refund and cancellation policies as outlined in product-specific terms.
- Digital products delivered successfully are generally non-refundable, unless defective or not as described.
- Sellers must cooperate with Clotac’s dispute resolution system and provide evidence when disputes arise.
- Repeated complaints or violations may result in listing removal or account suspension.
9. Prohibited Conduct
- Manipulating listings, ratings, or reviews through fraudulent or automated means is prohibited.
- Impersonating Clotac employees, other sellers, or third parties is not allowed.
- Harassment, threats, or discriminatory behavior towards other users is strictly prohibited.
10. Account Suspension and Termination
- Clotac may suspend or terminate accounts that violate this policy, repeated complaints, or legal requirements.
- Sellers will be notified of violations and may have an opportunity to respond before termination, except in cases of severe or repeated infractions.
- Clotac reserves the right to remove listings, block accounts, or take legal action if necessary.
11. Limitation of Liability
- Sellers agree that Clotac is not liable for any indirect, incidental, or consequential damages related to sales, product disputes, or account issues.
- Clotac provides the platform as a service and does not guarantee sales, buyer payments, or product outcomes.
12. Changes to Seller Policy
- Clotac may update this Seller Policy at any time by posting a revised version on the platform.
- Continued use of Clotac as a seller constitutes acceptance of the updated policy.
- Sellers are encouraged to review this policy periodically for changes.
