Welcome to Clotac, a global digital marketplace and platform offering in-house and third-party digital products ("Services"). By accessing or using our Services, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not use the Services.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Clotac, registered in Kangra, Himachal Pradesh, India ("Clotac", "we", "us", or "our"). These Terms govern your access to and use of all Services, including marketplace features, in-house products, and related content, software, or APIs.
By creating an account or using the Services, you confirm that you are at least 18 years of age (or have parental consent if a minor) and have the legal capacity to enter into these Terms.
2. Scope of Services
Clotac operates as:
- A global marketplace where third-party sellers can offer digital products.
- A provider of in-house digital products and services developed by Clotac.
- A platform connecting buyers and sellers worldwide, subject to local laws.
These Terms apply to all users, including buyers, sellers, and developers. Certain features may have additional rules, which form part of these Terms.
3. Account Registration and Responsibilities
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information.
- Maintain the confidentiality of your account credentials.
- Notify Clotac immediately of any unauthorized use of your account.
- Be solely responsible for activity under your account.
Accounts are personal and non-transferable. Business accounts must ensure that the user has authority to act on behalf of the business.
4. Seller Responsibilities
If you are selling on Clotac:
- You warrant that you have the legal right to sell all digital products listed.
- You must provide accurate product descriptions, pricing, and licensing terms.
- You agree to comply with applicable local, national, and international laws, including intellectual property and tax regulations.
- You are responsible for delivering products in accordance with the descriptions and licensing terms.
- Clotac reserves the right to remove listings that violate these Terms or applicable laws.
5. Buyer Responsibilities
As a buyer using Clotac:
- You agree to provide accurate payment and billing information.
- You are responsible for complying with any licensing agreements of purchased digital products.
- You agree not to redistribute, resell, or misuse digital products in violation of the Terms.
6. In-House Product Terms
Products developed and sold by Clotac directly ("In-House Products") are subject to the following:
- All product descriptions and specifications are provided in good faith.
- Clotac grants a limited, non-exclusive license to use purchased in-house products in accordance with applicable licensing terms.
- In-House Products may not be resold, redistributed, or modified without express written permission.
7. Licensing and Intellectual Property
All content on Clotac, including in-house products, platform software, and third-party listings, is protected by copyright, trademark, and other intellectual property laws. You agree not to:
- Copy, reproduce, distribute, or create derivative works from Clotac content without permission.
- Use Clotac’s branding, logos, or trademarks without prior written consent.
- Infringe on the intellectual property rights of third parties.
8. Product Listings and Prohibited Items
All sellers must ensure that their product listings comply with Clotac rules and applicable laws. Sellers may not list products that:
- Violate any intellectual property or copyright laws.
- Are fraudulent, illegal, or unsafe for consumers.
- Include malware, spyware, or harmful digital code.
- Violate local or international export, import, or trade sanctions.
Clotac reserves the right to remove any listing that violates these Terms or any applicable law, without prior notice.
9. Pricing and Payment Terms
All prices must be clearly displayed in the transaction currency. Sellers are responsible for:
- Ensuring accurate pricing information.
- Paying any platform fees or commissions as outlined by Clotac.
- Processing payments through Clotac-approved payment methods.
Clotac may change fees, payment methods, or transaction procedures at any time, with reasonable notice to users.
10. Refunds and Cancellations
Clotac offers a standard refund policy for both marketplace and in-house products, unless stated otherwise in product-specific terms:
- Digital products delivered or downloaded successfully are generally non-refundable.
- Refunds may be issued if products are not as described, defective, or fail to function as promised.
- Cancellation requests must be submitted within 24 hours of purchase for in-house products, where applicable.
- Clotac reserves the right to modify refund and cancellation policies for specific products, with clear notice to buyers.
11. Taxes and Compliance
Users are responsible for complying with all applicable tax laws, including:
- Goods and Services Tax (GST), Value-Added Tax (VAT), or other indirect taxes.
- Income, corporate, or business taxes for profits earned from sales.
- Withholding tax obligations for international transactions.
Clotac may calculate and collect taxes on behalf of users in certain jurisdictions, and display these amounts during checkout.
12. Delivery and Download Terms
Clotac facilitates the delivery of digital products through secure downloads or third-party systems. Users agree to the following:
- Digital downloads are provided in the format and specifications stated by the seller or Clotac.
- Clotac is not responsible for technical issues on the buyer's device that prevent access to products.
- Delivery timelines for in-house products will be communicated during checkout.
- Clotac reserves the right to suspend or delay delivery in cases of security, compliance, or technical issues.
13. Product Warranties
All products sold through Clotac are provided “as is.”
- Clotac does not warrant the accuracy, completeness, or quality of third-party products.
- In-house products are tested for functionality, but Clotac disclaims warranties of merchantability or fitness for a particular purpose.
- Any claims regarding product defects should be submitted to Clotac via legal@clotac.com within 14 days of purchase.
14. Buyer Protections
Clotac aims to provide a secure and transparent environment for buyers. To ensure protection:
- Buyers must verify seller ratings, reviews, and product descriptions before purchase.
- Payment protection is provided for valid transactions conducted through Clotac-approved payment methods.
- Buyers may dispute unauthorized or defective transactions within 14 days of delivery or download.
- Clotac reserves the right to investigate complaints and provide refunds, credits, or replacements at its discretion.
15. Dispute Resolution
Disputes between buyers and sellers should be addressed using Clotac’s dispute system:
- Users must submit evidence and documentation supporting their claim.
- Clotac will facilitate communication and resolution between parties but is not liable for the outcome of disputes.
- If resolution is not possible, users may seek legal remedies in the courts of India, as per Section 25 (Governing Law & Jurisdiction).
16. Marketplace Moderation & Enforcement
Clotac reserves the right to maintain order and compliance on the platform:
- Content, listings, or users violating policies may be suspended, removed, or banned.
- Repeated violations may result in permanent account termination.
- Clotac monitors compliance with applicable laws, including export/import restrictions, sanctions, and intellectual property laws.
17. Intellectual Property Rights
Clotac respects intellectual property (IP) rights. Users agree to:
- Only post or sell products they own or are authorized to sell.
- Not infringe trademarks, copyrights, patents, or other IP rights.
- Grant Clotac a limited license to display listings for the purpose of platform functionality and promotion.
All other rights remain with the content owner.
18. Reporting Infringements and Takedown Procedures
If you believe a product or content infringes your rights, follow these steps:
- Submit a written notice to legal@clotac.com including: identification of the IP, proof of ownership, URL of infringing content, and contact details.
- Clotac will review the claim and may remove or disable access to the content pending investigation.
- Sellers may file a counter-notice if they believe removal was unjustified. Clotac will review and act according to applicable law.
19. Prohibited Conduct
Users must not engage in conduct that:
- Disrupts Clotac services or servers.
- Uses bots, scripts, or automation to manipulate listings or ratings.
- Impersonates other users, Clotac employees, or third parties.
- Engages in harassment, threats, or discriminatory behavior.
20. Security Responsibilities
Users are responsible for securing their accounts and devices:
- Use strong, unique passwords and update them regularly.
- Immediately report unauthorized access or suspicious activity.
- Ensure purchased digital products are stored securely to prevent unauthorized distribution.
21. Digital Product Use & License Terms
Clotac may offer digital products, software, templates, or media files (“Digital Products”). By purchasing or accessing digital products:
- You receive a non-exclusive, non-transferable, revocable license to use the product for personal or business purposes as explicitly stated in the product description.
- Redistribution, resale, or unauthorized commercial use of digital products is strictly prohibited unless a commercial license is purchased.
- Clotac does not guarantee compatibility with all devices or platforms; users are responsible for ensuring technical requirements are met.
- All rights not explicitly granted remain with Clotac or the original content owner.
22. Third-Party Services & Integrations
Clotac may integrate or provide links to third-party services, tools, or APIs (“Third-Party Services”).
- Use of third-party services may be subject to separate terms and conditions, which you must review and accept.
- Clotac does not control, endorse, or guarantee the availability, security, or quality of third-party services.
- Users access third-party services at their own risk; Clotac is not liable for losses or damages resulting from their use.
- Users must comply with third-party terms when connecting accounts, using APIs, or enabling integrations.
23. User Communications & Notifications
Clotac may send communications via email, push notifications, or in-app messages:
- Users agree to receive operational, transactional, or promotional messages as permitted by law.
- Users may opt-out of promotional messages via account settings; essential operational messages cannot be opted out of.
- Clotac may also post notices on the platform that constitute official communications.
24. Compliance with Data Protection Laws (DPDP & Global Privacy)
Clotac collects and processes personal data in accordance with applicable privacy laws, including India’s Data Protection and Digital Personal Data Protection Act (DPDP):
- Users’ personal data is collected only for purposes specified in the Privacy Policy, including order processing, account management, marketing, and legal compliance.
- Clotac implements reasonable technical and organizational measures to secure personal data against unauthorized access, alteration, disclosure, or destruction.
- Users have the right to access, correct, and request deletion of personal data, subject to legal obligations.
- Clotac may share personal data with service providers, payment processors, logistics partners, and regulatory authorities where necessary.
- Users consent to international transfers of data as required for platform operations.
25. User Representations & Warranties
By using Clotac, you represent and warrant that:
- You are at least 18 years of age or have obtained appropriate parental/guardian consent.
- You have legal capacity and authority to enter into the Terms and transact on Clotac.
- Any products you sell or post do not violate laws, third-party rights, or Clotac policies.
- You will not use Clotac for unlawful, fraudulent, or malicious purposes.
26. Payments, Fees, and Taxes
All transactions on Clotac are subject to the following terms:
- Users must provide accurate and complete payment information and authorize all charges. Payment methods include credit/debit cards, UPI, net banking, wallets, or other available payment methods.
- All prices are inclusive of applicable taxes where specified, but users are responsible for any taxes, duties, or customs fees imposed by their local authorities unless otherwise stated.
- Clotac reserves the right to modify fees, charges, and payment methods at any time, with changes effective immediately upon posting unless otherwise communicated.
- Failed or fraudulent payments may result in suspension or termination of accounts.
27. Refunds and Returns
Clotac offers refund and return policies depending on the product type:
- For marketplace products sold by third-party sellers, refund and return eligibility is determined by the seller’s policy. Users must review the seller’s terms before purchasing.
- For in-house products sold by Clotac, the following applies:
- Refunds may be requested within 15 days of delivery for defective or damaged items.
- Products must be returned in original packaging and condition unless damaged during delivery.
- Shipping costs for returns are borne by the user, except in cases of Clotac error or defective product.
- Digital products are generally non-refundable unless defective or unusable, at Clotac’s discretion.
- Refunds will be processed using the original payment method within 7–14 business days after approval.
28. Shipping and Delivery Responsibilities
Shipping and delivery terms depend on the product type and location:
- Clotac facilitates shipping for both in-house products and marketplace sellers, but shipping times may vary based on location, courier, and customs clearance.
- Delivery dates are estimates; Clotac is not liable for delays caused by third-party carriers, customs inspections, or natural events.
- Users are responsible for providing accurate shipping information. Misdelivery due to incorrect details is the user’s responsibility.
- Risk of loss transfers to the buyer upon delivery for physical products, except where local consumer law provides otherwise.
29. Product Authenticity and Quality
Clotac strives to ensure all products meet quality standards:
- In-house products are inspected for quality and authenticity prior to shipment.
- Marketplace sellers must comply with Clotac’s product authenticity and safety standards. Sellers are responsible for verifying the authenticity of branded or restricted items.
- Users are encouraged to report counterfeit or unsafe products immediately to support@clotac.com.
- Clotac reserves the right to remove listings, suspend seller accounts, or take legal action if a product is deemed counterfeit, unsafe, or illegal.
30. Order Cancellations
- Users may request order cancellations prior to shipment; in-house products may be canceled through account settings or customer support.
- Marketplace seller cancellations are subject to the seller’s cancellation policy and Clotac’s approval.
- Refunds for canceled orders are processed as per Section 27 above.
31. Prohibited Products
Users may not sell or list products that:
- Are illegal, hazardous, or violate applicable law.
- Infringe intellectual property rights, trademarks, or copyrights.
- Promote hate, discrimination, or illegal activities.
- Include adult content without explicit labeling and legal compliance.
32. Intellectual Property Rights
All content, logos, designs, trademarks, and other intellectual property on Clotac, whether in-house or marketplace related, is protected under applicable laws.
- Clotac owns the copyright, trademarks, and trade dress of its platform, branding, and in-house product content.
- Marketplace sellers retain ownership of their product content but grant Clotac a license to display, promote, and manage their listings on the platform.
- Users may not copy, distribute, modify, or create derivative works from Clotac’s content without explicit written permission.
33. Content Licensing and Use
By using Clotac’s platform:
- Users grant Clotac a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, adapt, and distribute content related to listings, reviews, photos, videos, or descriptions.
- Clotac may use this content for promotional, marketing, or operational purposes.
- Users retain all other rights to their content, subject to the license granted to Clotac.
34. User Obligations for Listings
Users selling products on Clotac must:
- Provide accurate, clear, and complete information about products, including pricing, descriptions, images, and delivery timelines.
- Not misrepresent the origin, authenticity, or condition of products.
- Ensure compliance with local laws, regulations, and import/export rules.
- Not list prohibited, illegal, counterfeit, or unsafe products as outlined in Section 31.
- Maintain the rights and necessary permissions for all images, designs, or content uploaded to the platform.
35. Reviews, Feedback, and Communications
Clotac values transparency and trust between buyers and sellers:
- Users may post reviews or feedback based on their genuine experience with products and sellers.
- Clotac may remove reviews that are fraudulent, abusive, misleading, or violate platform rules.
- Users may communicate through the platform’s messaging system, which is monitored to prevent fraud, abuse, or harassment.
- Clotac is not liable for the content of messages or disputes arising from communications between users but may intervene to enforce Terms and ensure safety.
36. Intellectual Property Enforcement
Clotac respects the rights of intellectual property owners and provides mechanisms to address infringement:
- Users may submit takedown notices for content or products infringing their rights by contacting legal@clotac.com.
- Marketplace sellers must immediately remove or resolve any alleged infringement claims.
- Repeated infringers may face suspension, account termination, and legal action.
- Clotac disclaims liability for intellectual property violations committed by users or third parties.
37. Platform Security and Account Integrity
- Users must not attempt to access, hack, or interfere with Clotac’s systems or accounts belonging to other users.
- Sharing account credentials is prohibited. Users are responsible for all activity under their account.
- Clotac may suspend accounts in case of suspected security breaches or violations of the Terms.
- Users are responsible for promptly reporting unauthorized use of their accounts or security incidents.
38. Limitation of Liability
To the maximum extent permitted by law, Clotac, its officers, directors, employees, agents, subsidiaries, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data arising from your use or inability to use Clotac services or marketplace/in-house products.
- Any errors, omissions, or inaccuracies in content, product listings, or communications from sellers or other users.
- Any claims arising from unauthorized access to accounts, hacking, or third-party interference.
- Any disputes between buyers and sellers regarding transactions, product quality, delivery, or refunds.
By using Clotac, you acknowledge and accept these limitations of liability. Some jurisdictions do not allow limitations on liability, so these provisions may not apply to all users.
39. Indemnification
You agree to indemnify, defend, and hold harmless Clotac and its officers, directors, employees, agents, subsidiaries, and affiliates from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising from:
- Your use or misuse of the platform or services.
- Your listings, content, or communications with other users.
- Your violation of these Terms or applicable laws.
- Any infringement of third-party intellectual property rights.
40. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms, Clotac services, or products shall be submitted exclusively to the courts located in Kangra, Himachal Pradesh, India. Users agree to submit to the personal jurisdiction of these courts. No arbitration clause applies; disputes will be resolved in the default courts only.
41. Dispute Resolution
If a dispute arises between you and Clotac, you should first attempt to resolve it by contacting our legal team at legal@clotac.com. We encourage informal resolution, but you may pursue claims in the courts as stated above. You agree that any litigation will be conducted in Kangra courts, India, and not in any other jurisdiction.
42. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. Invalid provisions will be interpreted to achieve the original intent to the maximum extent permitted by law.
43. Waiver
Failure by Clotac to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future. Any waiver must be in writing and signed by an authorized representative of Clotac.
44. Entire Agreement
These Terms, together with any policies, guidelines, or other documents referenced herein, constitute the entire agreement between you and Clotac regarding the platform, marketplace, and in-house products, and supersede any prior agreements, communications, or understandings, whether written or oral.
45. Changes to Terms
Clotac may modify these Terms at any time by posting updated Terms on the platform. Continued use of Clotac services after modifications constitutes acceptance of the updated Terms. Users are encouraged to review the Terms periodically.
